    12. 12. Liability And Indemnity
    13. 13. Changes
    14. 14. General

    These terms set out the relationship between Multimedia Projects Ltd, a company registered in England and Wales with company number 05508063 and VAT number GB924114847, registered office 1 Southdown Close, Kingsnorth, Ashford, Kent TN25 7AE, trading as Motoring Insider ("we", "us", "our"), and an approved affiliate ("you").

    The commission amount, attribution window, validation period, minimum payment threshold and payment timetable that apply to you are set out in your activation email (the "Commercial Schedule"). We may change them under section 13.

    1. Appointment And Status

    We may approve you as a non-exclusive affiliate for Motoring Insider vehicle reports under these terms and the Commercial Schedule. Approval is not automatic. You act as an independent business. You cannot make contracts, make promises, accept payment or speak on our behalf.

    2. Our Role

    Customers you refer buy vehicle reports directly from us, on our terms, at motoringinsider.co.uk or at a co-branded checkout we host (section 5). We are responsible for checkout, payment, report delivery, invoices, customer service, complaints and refunds.

    3. Your Role

    You may share only the links, QR codes, wording and creative material we approve. You must not collect payment, vehicle details or customer information on our behalf. You must keep your contact, tax and payment information accurate and give it to us privately through the Affiliate Centre when we ask.

    4. Tracking And Attribution

    We will give you a unique affiliate tag, carried in your referral links and in any partner address we give you. An order is attributed to you if the customer reaches motoringinsider.co.uk through your tag and places the order:

    • in the same visit; or
    • within 30 days of the customer's visit through your link, where the tag has been stored in our first-party attribution cookie in the customer's browser (see our Cookie Policy), with the customer's consent where the law requires it.

    If more than one affiliate's tag applies, the order is credited to the affiliate whose link the customer used last. An order is not credited to any affiliate if the customer's last visit came from our own advertising or marketing, or if the customer came directly without a tag.

    We do not guarantee that every referral will be tracked, for example where the customer refuses cookies, uses another device or clears their browser. Our order, payment and tracking records, and our decisions on attribution, are final. A claim for a missing or wrongly attributed sale must reach us by the 10th day of the month after the sale. Later claims will not be considered.

    5. Co-Branded Checkout

    We may, at our discretion, offer you a co-branded checkout, showing your name, logo and colours alongside Motoring Insider. A co-branded checkout:

    • is always hosted on our domain, never on yours;
    • always names Multimedia Projects Ltd, trading as Motoring Insider, as the seller, with our terms, prices, privacy notice, receipts and invoices;
    • must not suggest that you supply the report or that you are responsible for it;
    • may be switched off by us at any time.

    You grant us a non-exclusive, royalty-free licence to use the name, logo and colours you supply for this purpose while the co-branded checkout is active, and you confirm you have the right to grant it. Orders through a co-branded checkout are credited to you under section 4.

    6. Qualifying Sales And Commission

    A qualifying sale is a completed, paid and delivered vehicle report order attributed to you under section 4 and validated under this section. Cancelled, refunded, disputed, fraudulent, duplicated, test and self-referred orders, and orders by you or your staff for your own use, do not qualify.

    Commission is either a fixed amount per qualifying sale or a percentage of the qualifying sale value, as stated in the Commercial Schedule, and is never more than the maximum per qualifying sale stated in the Commercial Schedule for that package. Where a percentage would come to more than the maximum, the commission on that sale is the maximum. The qualifying sale value is the amount the customer actually pays for the report and any extras, after any discount and excluding VAT.

    Commission is the total amount we will pay for each qualifying sale and includes any VAT chargeable on your supply. We will not pay anything more on account of VAT. If you are VAT registered, you must account for VAT out of the commission, tell us your VAT number, and tell us promptly of any change to your VAT registration. We may issue self-billed invoices for commission if you agree to that in writing.

    7. Validation, Payment And Clawback

    Commission stays pending for the validation period in the Commercial Schedule, which will be at least 30 days so it covers the period in which customers commonly ask for refunds. After validation it becomes payable.

    We pay validated commission monthly in arrears, by bank transfer to the verified account in your Affiliate Centre, once your balance reaches the minimum payment threshold. Balances below the threshold carry forward. A balance that has not reached the threshold within 12 months of the sale, or that remains when your account closes, is forfeited. Bank, transfer and currency charges are yours. We may require an invoice, a self-billing agreement and verified bank details before paying.

    Clawback. If a qualifying sale is later refunded (including a No Information Found refund), charged back, disputed successfully, or found to be fraudulent, duplicated or attributed by tracking abuse, the commission on it is reversed, even if it has already been paid. Where the refund is partial, we reverse the commission in proportion. We may deduct reversed or overpaid commission from future commission, or ask you to repay it within 14 days. We will not reverse commission for a refund made more than 6 months after the sale, unless the sale was fraudulent or caused by your breach of these terms.

    No interest is payable on commission that is paid late or withheld under these terms.

    8. Customer Data And Confidentiality

    We are the controller of all customer data from orders you refer. We do not give you customer names, email addresses, registrations, payment details or report contents. We give you aggregate figures and order-level commission records (order date, package, value and commission status) in the Affiliate Centre or by email. If you collect personal data for your own purposes, you are independently responsible for that, and you must not imply that we asked you to collect it.

    Each party must keep the other's non-public commercial and security information confidential, and cooperate reasonably with an attribution, refund, fraud or compliance check.

    9. Promotion Rules

    You must make the commercial relationship clear wherever the law or the CAP Code requires, and follow all advertising, consumer protection and privacy rules. You must not use misleading price, coverage or guarantee claims; send unsolicited marketing messages; use cookie stuffing, forced redirects or hidden links; run paid search ads on Motoring Insider names or bid on our trademarks without our written approval; impersonate us; post invented reviews; or claim that you provide the report.

    10. Approved Materials And Intellectual Property

    We grant you a limited, revocable, non-exclusive licence to use our approved materials while these terms are in force. You must not alter our branding, or register domain names, accounts or advertising identities that could be confused with Motoring Insider. Any other use of our names, logos or materials needs our written approval and must stop when these terms end.

    11. Suspension And Termination

    You may end these terms at any time by written notice. We may suspend or end these terms, or close your account, at any time and for any reason, with immediate effect, by notice. We may also close an account that has had no qualifying sales for 6 months. No commission is earned on sales made while a link or account is suspended.

    If we suspend or end these terms because of fraud, misleading promotion, breach of these terms or conduct that harms our reputation, all unpaid commission is forfeited. Otherwise, validated commission earned before termination is paid under the Commercial Schedule, subject to reversals and deductions. Within 7 days of termination you must remove all our links, names, logos and materials.

    12. Liability And Indemnity

    Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot legally be limited. Subject to that, we are not liable for any loss of profit, revenue, business or goodwill, or for any indirect or consequential loss, or for any tracking failure, system downtime or interruption to the programme. Our total liability arising from or in connection with these terms is limited to the commission paid to you in the 3 months before the event giving rise to the claim.

    You will indemnify us against all losses, fines, costs (including reasonable legal costs) and claims arising from your breach of these terms, your promotion of Motoring Insider, or your breach of advertising, consumer protection, data protection or other applicable law.

    13. Changes

    We may change the programme, the reports, prices, commission rates, the Commercial Schedule or these terms by notice by email or in the Affiliate Centre. A change takes effect on the date stated in the notice. A change that reduces commission takes effect at least 7 days after the notice is sent; any other change may take effect from the date the notice is sent. Commission on qualifying sales made before a change takes effect is calculated under the terms that applied when the sale was made. If you do not accept a change, you may stop promoting Motoring Insider and close your account. Continuing to promote Motoring Insider after a change takes effect means you accept it.

    14. General

    We may refuse any application, decline any order and suspend, change or close the programme at any time. Your appointment is non-exclusive and we may appoint other affiliates. You may not assign, transfer or subcontract your rights or obligations without our written consent. We may assign or transfer ours at any time.

    These terms, the Commercial Schedule and any notice under section 13 are the entire agreement between us and replace any earlier discussions or arrangements about referrals to our vehicle reports. A failure or delay in enforcing a term is not a waiver. If any provision is found invalid, the rest remain in force. Notices to us may be sent to support@motoringinsider.co.uk or to our registered office. Notices to you may be sent to the email address held in the Affiliate Centre.

    These terms, and any dispute or claim arising out of them (including non-contractual disputes or claims), are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
